The Paletteers' Bylaws

Article I
The name of this organization shall be the Paletteers.
Article II
The object of the organization is to sponsor art shows and to promote the development and advancement of painting and other arts in the Central Vermont area.
Article III
Section 1. Membership is open to people over eighteen years of age who are willing to fulfill the requirements as stated herein.
Section 2. New applicants will be considered members immediately upon payment of dues. New members who join between the Summer Art Show and the end of that year will be considered paid in full through the following year.
Section 3. Expectations of a Paletteer are:
A. Paid-up membership. Dues are on a calendar year basis, are to be paid on January 1st of each year, and must be paid no later than May 1st of each year.
B. Participating in the yearly activities planned by the membership, such as serving as an officer or board members, or on committees, attending meetings, art shows, and workshops, and promoting art in the community.
Section 4. A member who fails to pay dues by May 1st will be dropped from membership, will no longer receive mailings, and that person’s page on the Paletteers website will be removed.
Article IV
Section 1. Business meetings shall be held when called, usually by the President.
Section 2. The Annual Meeting is defined as the last business meeting of the year, held usually in November or December.
Section 3. Annual dues are set by a majority vote of members at the Annual Meeting. When no vote is taken, dues will remain unchanged from those previously set.
Article V
Section 1. Officers shall be a President, Vice-President, Secretary and Treasurer. The President may serve two 2-year terms. The past President may serve on the Board of Directors for one year following his/her term of office. If vacancies occur mid-term, replacements may be appointed by the President.
Section 2. The Board of Directors shall consist of the present officers, the retiring President, the Website Coordinator and three members-at-large chosen by the President.
Section 3. Elections shall take place biennially at the Annual Meeting. The newly elected officers shall take office in January.
Article VI
Section 1. Duties of the President are:
a. Preside at business meetings and meetings of the Board of Directors.
b. Coordinate times and places for meetings and art shows.
c. Select Board members-at-large.
d. Appoint the Website Coordinator.
Section 2. Duties of the Vice-President are:
a. Act in place of the President in his/her absence.
Section 3. Duties of the Secretary are:
a. Maintain records of votes taken at business meetings.
b. Notify the media of upcoming art shows, receptions and other events to which the public is invited.
Section 4. Duties of the Treasurer are:
a. Maintain the financial records of the Paletteers and provide financial reports as needed.
b. Receive membership dues and maintain a membership list.
c. Receive all income from fees, donations, art show sales, and make payments for necessary expenditures, as well as payments to artists for artworks sold at Paletteers events.
Section 5. Duties of the Website Coordinator are:
a. Ensure that payments are made to maintain the www.paletteers.us domain name.
b. Maintain the Paletteers website, to include designing and updating pages when needed.
c. Ensure that each member who so desires has an up-to-date webpage within the site.
d. Ensure that webpages for lapsed members are deleted.
Article VII
These Bylaws may be amended at an Annual Meeting by a majority vote of those present. These Bylaws supersede all previous versions.
